Burgaw Social & Wellness – Vendor Terms & Conditions

Effective Date: June 1st, 2026

These Vendor Terms & Conditions (“Agreement”) govern participation in any event hosted by Burgaw Social & Wellness (“Burgaw Social,” “we,” “us,” or “our”). By purchasing a vendor space, you (“Vendor”) acknowledge that you have read, understood, and agree to be legally bound by this Agreement.

1. Vendor Space Purchase

Vendor spaces are sold on a first-come, first-served basis and are subject to availability.

Booth Pricing (Per Event – 9 Hours)

• 5x5 Vendor Space (Standard Placement): $25
• 5x5 Vendor Space (Premium Placement – Front of Store): $50

Each vendor space grants access for a single event with a total duration of nine (9) hours, including operational time.

Burgaw Social reserves the right to:

• Assign or reassign vendor placement
• Adjust layout for safety, flow, and overall event experience

Vendor space purchases do not guarantee specific placement unless explicitly stated.

2. NO REFUND POLICY (STRICT)

ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE.

This includes:

• Vendor booth fees
• Equipment rentals
• Add-ons (VIP parking, premium placement, etc.)

No refunds will be issued for:

• Vendor cancellation or no-show
• Weather conditions
• Low sales or dissatisfaction
• Event attendance outcomes
• Removal due to violation of this Agreement

By completing a purchase, Vendor agrees to this strict no-refund policy.

3. Setup & Breakdown

• Vendors must arrive no later than one (1) hour prior to event start
• Vendors must remain up to one (1) hour after the event for breakdown and cleanup
• Vendors must operate for the entire duration of the event

Late Arrival Policy

Late arrivals may result in:

• Forfeiture of vendor space without refund
• $25 late fee
• Suspension or permanent ban from future events

Failure to clean your space may result in additional fees and/or restrictions.

4. Vendor Responsibilities

Equipment & Rentals

Vendor must bring their own setup or rent from Burgaw Social:

• Chairs: $5 each
• Tables: $10 each

Rental Condition Policy

• All rentals must be returned in the same condition
• Vendor is responsible for damage, loss, or excessive wear
• Additional charges may apply

General Responsibilities

Vendor is responsible for:

• Setup and breakdown
• Securing all property
• Maintaining a clean, safe booth
• Removing all trash

Burgaw Social is not responsible for lost, stolen, or damaged items.

5. Compliance with Laws

Vendor agrees to comply with all:

• Local, state, and federal laws
• Health and safety regulations
• Age rules (18+ entry, 21+ consumption where applicable)

PROHIBITED:

• Illegal products
• Unauthorized cannabis sales
• Counterfeit or stolen goods

Violation = immediate removal without refund.

6. Conduct & Removal

Vendors must act professionally.

Burgaw Social may remove any vendor without refund for:

• Disruptive behavior
• Non-compliance
• Negative impact on event or guests

7. Weather Policy

Events are rain or shine unless canceled by Burgaw Social.

NO REFUNDS due to weather.

However:

• Vendor may reschedule their spot
• Vendor may use their spot at a future date or different event

Conditions

• Subject to availability
• Must be approved
• No cash value / no refunds

8. Liability Waiver

Vendor participates at their own risk.

Burgaw Social is not liable for:

• Injury
• Theft or loss
• Property damage
• Any damages related to participation

9. Dispute Resolution (Mandatory Arbitration & Attorneys’ Fees)

All disputes must be resolved through binding arbitration in North Carolina.

• Vendor waives right to a jury trial

Legal Fees

• The winning party is entitled to legal fees
• If Vendor brings a claim that is:
• Without merit
• In bad faith
• In violation of this Agreement

Vendor agrees to pay all legal costs incurred by Burgaw Social.

10. Limitation of Claims

Vendor agrees not to seek:

• Lost profits
• Business interruption damages
• Indirect or consequential damages

11. Non-Disparagement

Vendor agrees not to make false, misleading, or defamatory statements about Burgaw Social.

This includes:

• Social media
• Reviews
• Public statements

12. Recording & Surveillance Notice

Vendor acknowledges:

• Premises are under video/audio surveillance
• Recording occurs in all public/vendor areas
• Footage may be used for legal, safety, and enforcement purposes

Vendor consents to being recorded.

13. Enforcement & Evidence

Violations may be documented through:

• Camera footage
• Staff reports
• Witnesses

Used as evidence in disputes or enforcement.

14. Right to Refuse Service

Burgaw Social may deny or remove any vendor at any time.

No refunds will be issued.

15. Agreement Acknowledgment

By purchasing or participating, Vendor confirms:

“As a vendor I have read and agree to the Burgaw Social Vendor Terms & Conditions. I understand that all payments are non-refundable and that participation is subject to all stated policies.”
